1. Conference Management. This meeting is produced by and is the property of SCDA. SCDA will provide all conference management functions and establish all conference policies. Each prospective exhibitor or sponsor is required to agree to this Contract. For purposes of this Contract, “Participant” refers to any exhibitor or sponsor purchasing an opportunity through this registration. By agreeing to this Contract, the Participant agrees to the Rules and Regulations, which are a part of the Contract.
2. Security. SCDA and the conference facilities will take precautions to safeguard Participants’ property. However, SCDA will not be liable for damage or loss to Participants’ property through theft, fire, accident, or any other cause. Participants should insure their own exhibits, displays, and other materials. SCDA will not assume liability for any injury that may occur to conference attendees, Participants, or other agents or employees of Participants. Please note: The exhibit area is located in a meeting room/foyer and is unsecured.
3. Default of Occupancy. Any Exhibitor failing to occupy its contracted space by the designated exhibitor setup deadline, as communicated in the Exhibitor Information Packet, without having cancelled its space, is obligated to pay the full cost of such space. In that event, SCDA shall have the right to use said space for its own convenience, including selling the space to another Exhibitor, without any rebate or allowance to the defaulting Exhibitor. SCDA assumes no responsibility for having included the name of the defaulting Exhibitor or descriptions of its products in the conference program, brochures, news releases, or other materials.
4. Booth Arrangement. All Exhibitors shall arrange their displays so they utilize only the booth area contracted for and in a manner that recognizes the rights of other Exhibitors and conference attendees and conforms to the overall pattern developed by SCDA. Appearance: An Exhibitor is responsible for keeping its booth sightly. Exhibitors must arrange to remove excessive amounts of trash or waste materials during exhibit hours. Fire Regulations: All materials shall be fire-resistant.
5. Cancellation or Withdrawal. A Participant may cancel or withdraw from the conference subject to the following conditions: (a) The Participant shall give SCDA notice in writing of its intention to cancel or withdraw. (b) Refund schedule: Cancellations received on or before December 4, 2026, will be refunded in full. Cancellations received December 5, 2026, through February 2, 2027, will receive a 50% refund. Cancellations received February 3, 2027, or later will not be refunded. In the event of cancellation, SCDA shall have the right to use any associated space or sponsorship opportunity for its own convenience, including selling the space or opportunity to another Participant, without any rebate or allowance to the cancelled Participant beyond the applicable refund described above. SCDA assumes no responsibility for having included the name of the cancelled Participant or descriptions of its products or services in conference programs, news releases, or other materials.
6. Safety, Fire, and Health. Participants must comply with all applicable safety, fire, and health ordinances regarding the installation and operation of equipment. All displays, exhibit materials, and equipment must be reasonably located and protected by appropriate safety guards and fireproofing to prevent fire hazards and accidents.
7. Care of Building. No Participant may allow an article to be brought into, nor permit any act to be done in, the hotel that will increase the premiums or void policies of insurance held by SCDA. No Participant may permit any act by its employees or agents by which the premises shall in any manner be marred or defaced. Participants must surrender any space occupied in the same condition as at the commencement of occupancy. Any damage done to the premises by a Participant shall be made good to SCDA or to the hotel as their interest may appear.
8. Space Assignment. Exhibit space will be assigned on a first-come, first-served basis based on when payment is received.
9. Exhibitor Badges. SCDA will provide badges for all registered Exhibitor personnel. The number of complimentary registrations included is determined by the exhibitor or sponsorship package purchased. Additional Exhibitor personnel may register at the published Additional Person rate. All Exhibitor personnel must be registered and wear an official conference badge during scheduled exhibit hours.
10. SCDA Liability. In the event that SCDA is held liable for any situation resulting from a Participant’s action or failure to act in any manner whatsoever, such Participant shall reimburse SCDA and hold SCDA harmless from any resulting liability.
11. Hotel Liability. The Participant assumes the entire responsibility and liability for losses, damages, and claims arising out of the Participant’s activities on the hotel premises and will indemnify, defend, and hold harmless the hotel, its owner, and its management company, as well as their respective agents, servants, and employees, from any and all such losses, damages, and claims.
12. Non-Disparagement. The Participant agrees and covenants that the Participant will not at any time make, publish, or communicate to any person or entity, or in any public forum, any defamatory or disparaging remarks, comments, or statements concerning SCDA’s work, services, existing or prospective partners, exhibitors, sponsors, or other associated third parties, or make any maliciously false statements about SCDA’s employees, officers, or board members.
13. General. The Contract, Rules, and Regulations may be amended at any time by SCDA, and all such amendments or additions shall be equally binding on all affected parties as the original Contract, Rules, and Regulations.
14. Right of Refusal. SCDA has the right to refuse exhibit space, sponsorship opportunities, and/or advertising to any applicant for any reason whatsoever.
15. Shipping/Receiving. Exhibitors should refer to the Exhibitor Information Packet provided prior to the conference for shipping and receiving instructions.
